1. Introduction

Spread The Word conducts all business professionally, ethically, and confidentially. New Zealand law governs this agreement, and New Zealand courts have exclusive jurisdiction. By engaging Spread The Word for any services, clients agree to these terms and conditions.

2. The Engagement

  • The start date of services will be mutually agreed upon, with charges applicable from that date.

  • You acknowledge that you have the authority to enter into this agreement on behalf of any represented party.

  • Only parties involved in the contract have rights associated with it.

  • “We”, “our”, and “us” refer to Spread The Word Limited and/or its representatives. “You” refers to our clients.

  • Cancellation of any services requires written notification, and the client is liable for any partially completed works.

3. Your Responsibilities

  • Complete a client brief before work begins.

  • Ensure all work submitted for revision or approval is completed promptly.

  • Adhere to the payment terms for the services.

  • Acknowledge that we do not assume risk for your equipment when communicating with us electronically.

4. Our Services

  • We will provide a quote outlining costs, a client brief, timelines, and responsibilities.

  • Up to two sets of revisions are allowed; additional revisions will incur extra charges.

  • We reserve the right to subcontract certain tasks without affecting service quality.

  • Services can be changed at any time without notice or liability.

5. Payment & Charges

  • Quotations are valid for 30 days and exclude GST.

  • Monthly service packages require a one-month upfront payment within seven days of the invoice date.

  • Fixed quotes require 50% upfront before work begins.

  • Progress payments may be invoiced for large projects or if timelines are exceeded due to the client.

  • Monthly or advance invoices are due within seven days of the billing date. Failure to pay by the due date will result in cessation of services and possible debt collection charges.

  • Special rates are given for ongoing services with a three-month content plan and a minimum six-month agreement.

6. Waiver

  • Failure to enforce any obligation does not constitute a waiver.

  • Any waiver must be communicated in writing.

7. Intellectual Property

  • You acknowledge that you will not submit content that infringes on third-party rights.

  • You indemnify us against any costs from breaches of intellectual property rights or defamation arising from your submissions/actions.

  • Upon full payment, you own the intellectual property of the final product, provided it does not infringe on third-party rights. Rejected work remains our property.

8. Liability

  • We are not liable for any damages or losses, including data loss or security breaches, resulting from our services.

  • We are not responsible for delays or failures beyond our control.

9. Suspension, Termination, or Disputes

  • We reserve the right to refuse or suspend work without notice if we suspect payment issues or potential intellectual property infringements.

  • In the unlikely event of a dispute, you agree to negotiate in good faith for at least 14 days before taking further action.

10. Marketing

  • We may contact you electronically in compliance with the Unsolicited Electronic Messages Act. Refer to our Privacy Policy for further information.

  • We may use the materials produced from our services for marketing purposes.
